GPC & AP Contracts Specialist
MAIN DUTIES & RESPONSIBILITIES: Contracts Management ? the candidate should have : Proven capability (without supervision) Commercial benefits and risk: Qualifying and making recommendations on main contract and purchase agreements to maximise commercial benefits and manage risk;Draft legal documents: Drafting in a legal / contractual context;Substantiate Contractual entitlements: Creating and compiling evidence to substantiate contractual entitlements;Change management: Applying change management principles and procedures for identifying and supporting contract change recoveries;Contract obligations: Meeting contract requirements for ensuring all contract obligations to clients/Subsea 7/vendors are metLiabilities/indemnities/warranties/MHHA: awareness and administration of liabilities and indemnity regimes, warranties and mutual hold harmless agreements ;Stakeholder agreement: Engaging stakeholders to identify and resolve differences through negotiation to reach a mutually agreed solution;Bidding, contracting and subcontracting: Uphold bidding and contracting principles, subcontracting principles and associated deviation processes;Contractual claims: Managing contractual and insurance claims handling process and associated claims quantification, presentation and settlement;Financial awareness: Developing and maintaining understanding of commercial issues affecting Subsea 7;Subsea 7 and general industry awareness: Developing and maintaining organisational, competitive environment and key client awareness.Preparation of pre-subcontract documentsContracts and Documentation: Preparation of contracts including NDA?s, Main Contract Flowdowns, Frame Agreements etcProject correspondence; preparation of formal correspondence to clients and subcontractors/suppliers;Familiarity with bidding and Contracting Principles, Subcontracting principles and deviation process; Some proven capability (or has capability under supervision) Legal framework: for applying the legal framework governing all areas of Subsea 7's business;Substantive law and analysis: of researching substantive law and providing analysis;Compliance: of Ensuring compliance with business ethics, Subsea 7's code of business conduct and anti-corruption laws;Corporate governance: managing corporate governance through the administration of legal entities, including their creation and dissolution;Advice: providing advice and assistance on corporate, contractual and any other matters ;Agreements: establishing and maintaining all relevant agreements, including intercompany agreements;Financial and tax advice: giving financial and tax advice to mitigate exposure including structuring contractual relationships and drafting/qualifying contract clauses;Guarantee, Bonds and Financing: providing advice with respect to parent company guarantees, bonds and financing, and assisting with related compliance initiatives;Contract law: Applying appropriate local contract law.Project-specific partnering: Drafting and administration of project specific partnering agreements and applicable legal constraints including competition laws;Risk identification and management: Identifying and handling risks through insurance or avoidance by indemnity or waiver of liability;Contractual qualifications: Formulating and qualifying contractual provisions complying with our insurance covenants;Insurances: Arranging statutory insurance requirements applicable to Subsea 7;Conflict of laws: Uphold conflict of Laws principles to ensure appropriate choice of law and forum for dispute resolution and enforcement of awards including obtaining injunctions; AUTHORITY/DIMENSIONS Operate within the Business Code of ConductOperate according to Subsea 7's Management Principles REPORTING LINES GPC Functional reporting line to GPC Commercial Performance DirectorOperational reporting line into SCM
